Survival of Terms

WHY THIS MATTERS

Cancelling, completing, or refusing an order does not erase the protections in our agreement. Certain terms are designed to survive the end of the transaction so that both parties remain bound by what they agreed to. This notice is part of and incorporated into the Terms of Purchase (TC-1.4) §10.

§1 Provisions That Survive

The following provisions, and any others that by their nature should survive, remain in full force and effect after the completion, fulfillment, cancellation, expiration, refusal, or termination of any order or of the Terms of Purchase:

  • Chargeback Policy — the obligation to contact AMC and allow 30 days before any dispute (TC-1.4 §5);
  • Governing Law, Venue & Fees — Tennessee law and Washington County, TN venue, including the General Sessions Court (TC-1.4 §6);
  • Limitation of Liability (TC-1.4 §7);
  • Indemnification (TC-1.4 §12 and the Indemnification Policy);
  • Class-Action Waiver (TC-1.4 §14);
  • Refusal, Storage, Demurrage & Abandonment (TC-1.4 §17);
  • Severability and No Oral Modification (TC-1.4 §9 and §11).

§2 Accrued Obligations

Cancellation or completion of an order does not release either party from any obligation that accrued before that event, or that is intended to survive it. Amounts owed, disputes, and indemnity obligations remain enforceable.
