§1 Provisions That Survive

The following provisions, and any others that by their nature should survive, remain in full force and effect after the completion, fulfillment, cancellation, expiration, refusal, or termination of any order or of the Terms of Purchase:

• Chargeback Policy — the obligation to contact AMC and allow 30 days before any dispute (TC-1.6 §5);
• Governing Law, Venue & Fees — Tennessee law and Washington County, TN venue, including the General Sessions Court (TC-1.6 §6);
• Limitation of Liability (TC-1.6 §7);
• Indemnification (TC-1.6 §12 and the Indemnification Policy);
• Performance & Lead-Time Disclaimer — no guaranteed delivery date, and the waiver of lost-business, lost-calls, and consequential-damage claims arising from any delay (TC-1.6 §13A and the Lead Times & Expedited Service Policy (LT-1.0));
• Class-Action Waiver (TC-1.6 §14);
• Refusal, Storage, Demurrage & Abandonment (TC-1.6 §17);
• Severability and No Oral Modification (TC-1.6 §9 and §11).

§2 Accrued Obligations

Cancellation or completion of an order does not release either party from any obligation that accrued before that event, or that is intended to survive it. Amounts owed, disputes, and indemnity obligations remain enforceable.
